Terms of Service

01Who we are

This website and the asly platform are operated by Asly AI L.L.C-FZ, a free zone limited liability company registered in the Meydan Free Zone, Dubai, United Arab Emirates.

In these Terms, “asly”, “we”, “us” and “our” mean Asly AI L.L.C-FZ. “You” and “Customer” mean the person or entity that accesses the website or subscribes to the Services.

02Your agreement with us

By accessing asly.ai, creating an account, or subscribing to any of our Services, you agree to these Terms of Service. If you do not accept them, do not use the Services.

If you accept these Terms on behalf of a company, firm or other entity, you confirm that you have authority to bind that entity, and “you” means that entity.

You agree that clicking to accept, or continuing to use the Services, constitutes a valid electronic signature and forms a binding contract under Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.

Our Services are offered on a business-to-business basis. You must be at least 18 years old to use them.

03What we provide

asly provides software and services to help businesses manage legal and tax work. Our Services currently comprise:

• asly — legal practice management. Software for law firms and in-house legal teams to manage clients, contacts, agreements, proposals, powers of attorney and related documents, including document capture and optical character recognition.
• asly tax. Software that helps a business organise its own financial records and prepare and submit its own returns to the UAE Federal Tax Authority, including through official FTA interfaces where we are authorised to connect to them.
• Implementation and configuration services. Onboarding, data migration, configuration and training relating to the software above.

We may add, change or discontinue features. Where a change materially reduces the functionality you are paying for, we will give you reasonable notice.

04What we are not

1. We do not practise law. Asly AI L.L.C-FZ is not licensed as a legal consultancy or advocacy practice and is not registered with the Dubai Legal Affairs Department or any equivalent authority. Using the Services does not create a lawyer–client relationship between you and us, and no communication with us is protected by legal professional privilege on our side.
2. We are not a tax agent or tax adviser. We are not registered as a Tax Agent with the UAE Federal Tax Authority under Federal Decree-Law No. 28 of 2022 on Tax Procedures, and we do not provide tax advisory, audit, accounting, bookkeeping or regulated financial services. Our tools help you prepare and file your own returns using your own data.
3. You remain responsible for your filings. Every submission made through the Services is made by you, in your name, on your own data. You are solely responsible for the completeness, accuracy and timeliness of anything you submit to the Federal Tax Authority, to any court or registry, or to any other authority, and for any penalty, interest or assessment arising from it.
4. Get professional advice. Where a matter requires legal or tax advice, obtain it from a licensed advocate, legal consultant or registered tax agent before acting.

05Automated and AI-assisted output

Parts of the Services use artificial intelligence to extract data from documents, draft text, summarise material and suggest answers. This output is generated automatically and can be incomplete, out of date or wrong.

AI-assisted output is a starting point for a qualified human, not a substitute for one. You must review and verify it before relying on it, filing it, or sending it to a client, counterparty or authority. We do not warrant that any AI-assisted output is accurate, current or fit for a particular purpose.

Where the Services extract data from a document you upload — an Emirates ID, trade licence, financial statement or similar — you are responsible for checking the extracted values before they are used.

06Accounts and acceptable use

You are responsible for your account credentials and for everything done under your account. Tell us immediately at contact@asly.ai if you believe your account has been compromised.

You must not:

• use the Services unlawfully, or in breach of any UAE law, sanctions regime, or the rules of any authority that regulates you;
• upload data you have no right to upload, or data belonging to a third party without a lawful basis;
• attempt to access another customer’s data, probe or test the security of the platform, or circumvent any usage limit;
• reverse engineer, decompile, scrape or copy the platform, or use it to build a competing product;
• resell, sublicense or share access outside the seats you have paid for;
• upload malware, or anything that impairs the platform or another user.

We may suspend access immediately where we reasonably believe there is a security risk, a legal risk, or a breach of this clause.

07Your data and confidentiality

You own the data you put into the Services. You grant us a limited licence to host, process, transmit and display that data solely to provide and support the Services, and to comply with law.

Where your data includes information about your own clients — for example a law firm’s client files — you are the controller of that information and we act as your processor, on your instructions. Our handling of personal data is set out in the Privacy Policy, which forms part of these Terms.

We treat your data as confidential. We do not sell it, and we do not use your content to train publicly available AI models. We may use aggregated, de-identified usage statistics that do not identify you or any individual to operate and improve the Services.

You can export your data at any time while your account is active. After termination we keep it available for 30 days for export, then delete or irreversibly anonymise it, except where law requires us to retain it for longer.

08Third-party systems

The Services connect to systems we do not control, including UAE government interfaces such as the Federal Tax Authority and EmaraTax, payment infrastructure, email providers and cloud hosting. Access to those systems depends on the third party, and may be interrupted, changed or withdrawn.

We are not responsible for the availability, accuracy or acts of any third-party system, and any government portal, form or requirement referenced in the Services may change without notice to us.

09Fees, billing and tax

All prices are quoted in UAE Dirhams (AED) and are exclusive of Value Added Tax, which is added at the rate in force (currently 5%) where applicable.

Services are billed as described at checkout or in your order. One-off filing and registration services are billed at the point of purchase.

Card payments are processed by our payment service provider, Innovate Technologies FZCO (Telr), a payment services provider licensed in the United Arab Emirates. We accept Visa, Mastercard and American Express. We do not receive or store your full card number; card data is captured and tokenised by the payment provider in a PCI DSS environment.

Government fees, authority charges and third-party costs are not included in our prices unless expressly stated, and are payable by you.

If a payment fails or an invoice is unpaid, we may suspend access after giving you notice and a reasonable opportunity to fix it. We may change our prices on 30 days’ notice, effective from your next renewal.

Cancellations and refunds are governed by the Refund & Cancellation Policy.

10Availability and support

We aim to keep the Services available at all times, but we do not guarantee uninterrupted access. We may take the platform down for maintenance, and will give advance notice for planned maintenance where practicable.

Support is provided by email at contact@asly.ai, Sunday to Thursday, 09:00–18:00 Gulf Standard Time, excluding UAE public holidays. Any committed uptime or response time applies only if it is set out in a separate written service level agreement signed by us.

11Intellectual property

The platform, its software, interfaces, documentation, brand, name and marks are owned by us or our licensors. Subject to these Terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes during the term of your engagement.

Nothing in these Terms transfers ownership of our intellectual property to you, or of your data to us.

If you send us feedback or suggestions, we may use them without restriction or payment.

12Disclaimer of warranties

Other than as expressly stated in these Terms, the Services are provided “as is” and “as available”. To the fullest extent permitted by law we exclude all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that the Services will meet your requirements, that output will be error-free, or that any filing prepared using the Services will be accepted by any authority.

13Limitation of liability

To the fullest extent permitted by UAE law:

1. we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill, anticipated savings, or data;
2. we are not liable for any tax, penalty, fine, interest or administrative sanction imposed on you by any authority, or for any loss arising from a filing, submission or document that you made or approved;
3. our total aggregate liability arising out of or in connection with these Terms, whether in contract, tort or otherwise, is limited to the total fees you paid us in the twelve months immediately before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

14Indemnity

You will indemnify us against any claim, loss, liability, penalty or reasonable cost (including legal fees) arising from your use of the Services in breach of these Terms, your data, or any submission you make to an authority using the Services.

15Suspension and termination

You may cancel your services at any time in accordance with the Refund & Cancellation Policy.

We may suspend or terminate your access if you materially breach these Terms and do not remedy the breach within 14 days of written notice, if you fail to pay, if we are required to do so by law or by an authority, or immediately where there is a serious security or legal risk.

On termination your right to use the Services ends. Clauses that by their nature should survive — including confidentiality, intellectual property, liability, indemnity and governing law — survive termination.

16Changes to these Terms

We may update these Terms. The version in force is always published on this page with its version number and effective date. If a change materially affects your rights, we will notify you by email or in the platform at least 30 days before it takes effect. Continuing to use the Services after that date means you accept the updated Terms.

17General

• Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, including outages of government or third-party systems.
• Assignment. You may not assign these Terms without our written consent. We may assign them to a group company or in connection with a merger, reorganisation or sale of the business.
• Severability. If any provision is held invalid, the rest remains in force.
• Waiver. A delay in enforcing a right is not a waiver of it.
• Entire agreement. These Terms, together with the Privacy Policy, the Refund & Cancellation Policy and any order form or service level agreement signed by us, form the whole agreement between us.
• Language. These Terms are issued in English. If we publish an Arabic translation and there is a conflict, the Arabic version prevails to the extent required by UAE law.

18Governing law and jurisdiction

These Terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai, together with the regulations of the Meydan Free Zone.

The parties will first attempt to resolve any dispute in good faith within 30 days of written notice. Failing that, the courts of Dubai have exclusive jurisdiction.
